Confidentiality and Non-Circumvention

All property information, contact details, and business opportunities shared through our Services are confidential and proprietary. You agree to a two-year non-circumvention obligation from the date of disclosure.

Important: Breaching confidentiality regarding property information or contacts may result in liquidated damages of $25,000 per incident, plus recovery of all associated legal costs.

Prohibited Conduct

When using our Services, you agree not to:

  • Use automated tools, bots, or scripts to access our systems
  • Copy, modify, distribute, or create derivative works of our content

In no event shall Clever Key Group be liable for any indirect, incidental, special, consequential, or punitive damages, even if we have been advised of the possibility of such damages.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

Indemnification

You agree to indemnify, defend, and hold harmless Clever Key Group, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms of Use.

Dispute Resolution

Any disputes arising from or relating to these Terms of Use or your use of the Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall take place in Charlotte, North Carolina. By agreeing to these terms, you waive your right to a jury trial and to participate in any class action lawsuit or class-wide arbitration.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms of Use at any time. We will notify you of any material changes by posting the new Terms of Use on this page and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new terms.

Severability

If any provision of these Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
